Terms of Service

Note: These terms are a working draft and should be reviewed by qualified legal counsel before being considered final. They are provided in good faith to communicate our current policies and intentions.

1. Acceptance of Terms

By accessing or using the NORA Strategy OS platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you are accepting on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including free-tier users and paid subscribers.

2. Description of Service

NORA Strategy OS is a B2B strategy execution platform operated by NORA Strategy Inc., a Canadian corporation based in Quebec. The Service helps organizations structure, evaluate, and track strategic investments — including business case development, portfolio prioritization, and outcome tracking — with AI-assisted analysis features.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable.

3. Account Registration

To use the Service, you must:

  • Be at least 18 years of age
  • Provide accurate, current, and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized use of your account

You are responsible for all activity that occurs under your account. Each individual must register separately; account sharing is not permitted.

4. Acceptable Use

You agree not to:

  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Attempt to gain unauthorized access to any part of the Service, its infrastructure, or other users' accounts
  • Use the Service to develop a competing product or to train a competing AI system using NORA's outputs
  • Upload malicious code, interfere with Service availability, or conduct denial-of-service attacks
  • Use the Service to violate any applicable law or regulation
  • Misrepresent your identity or affiliation

We reserve the right to suspend or terminate accounts that violate these guidelines, with or without notice depending on the severity of the violation.

5. Intellectual Property

NORA Strategy Inc. owns all rights, title, and interest in and to the Service, including its software, design, trademarks, and documentation. Nothing in these Terms grants you any ownership rights in the Service.

You retain all rights to your own data — your strategy documents, business cases, initiatives, and related content that you input into the platform. NORA does not claim ownership of your data.

6. Customer Data

You retain all rights to your strategy data, business cases, financial models, initiatives, and any other content you create or upload (“Customer Data”). We process Customer Data solely to provide and improve the Service, and we do not sell it to third parties.

By using the Service, you grant NORA a limited, non-exclusive license to store, process, and transmit Customer Data as necessary to operate the Service. This license ends when you delete the data or close your account.

You are responsible for ensuring that you have all necessary rights to the data you submit to the Service, and that your use of the Service does not violate any third-party rights.

7. AI Features

NORA includes AI-assisted features that help analyze, structure, and summarize strategic information. These features are intended to support your decision-making — not replace it.

AI-generated outputs are advisory in nature. They may contain errors, omissions, or inaccuracies. You are solely responsible for reviewing AI outputs and for any decisions made based on them. NORA makes no warranty regarding the accuracy, completeness, or suitability of AI-generated content for any particular purpose.

8. Free Tier

We offer a free tier of the Service with limited features. The free tier is provided “as is” and may be modified, limited, or discontinued at any time. We will provide reasonable notice before making material changes to free-tier availability.

Free-tier users are subject to usage limits that may be updated from time to time. Exceeding these limits may result in reduced functionality or a prompt to upgrade.

9. Paid Plans

Paid plan pricing, billing terms, and features are as specified in your order agreement or on our pricing page at the time of purchase. Unless otherwise agreed:

  • Subscriptions are billed in advance on a recurring basis (monthly or annually)
  • All fees are exclusive of applicable taxes, which are your responsibility
  • Refund and cancellation terms are as specified in your order agreement
  • We reserve the right to change pricing with 30 days' notice for existing subscribers

10. Availability and SLA

We use commercially reasonable efforts to make the Service available with minimal interruption. However, we do not guarantee any specific uptime percentage for free-tier users.

Paid enterprise plans may include specific uptime commitments as defined in a separate Service Level Agreement (SLA). Scheduled maintenance will be announced in advance where practical.

11. Limitation of Liability

To the fullest extent permitted by applicable law, NORA Strategy Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of — or inability to use — the Service.

Our total cumulative liability to you for any claims arising out of or related to the Service will not exceed the greater of: (a) the fees you paid to NORA in the 12 months preceding the claim, or (b) CAD $100.

Nothing in these Terms limits liability for death, personal injury, gross negligence, fraud, or any other liability that cannot be excluded by law.

12. Indemnification

You agree to indemnify and hold harmless NORA Strategy Inc. and its officers, directors, employees, and agents from any claims, losses, or damages (including reasonable legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) your Customer Data infringing any third-party rights; or (c) your violation of any applicable law.

NORA agrees to indemnify you against third-party claims that the Service, as provided, infringes any patent, copyright, or trademark, subject to your prompt notification and reasonable cooperation in defense.

13. Termination

Either party may terminate these Terms at any time. You may close your account through the platform settings or by contacting us. We may terminate or suspend your account for material violations of these Terms, with or without notice depending on severity.

Upon termination, you may export your Customer Data within 30 days. After that period, we will delete your data in accordance with our Privacy Policy. Paid plan subscribers will receive a pro-rated refund for unused subscription time, unless termination is for cause.

14. Governing Law

These Terms are governed by the laws of the Province of Quebec, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law principles.

15. Dispute Resolution

If a dispute arises, both parties agree to first attempt to resolve it through good-faith negotiation. Either party may initiate this process by sending written notice describing the dispute to the other party.

If the dispute is not resolved within 30 days of written notice, either party may pursue resolution through the courts of the Province of Quebec, Canada, which will have exclusive jurisdiction. You consent to the personal jurisdiction of these courts.

16. Changes to Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days' advance notice by email before the changes take effect. The “Last updated” date at the top of this page reflects the most recent revision.

Continued use of the Service after the effective date of updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the changes, you may close your account before they take effect.
